einTime Product Terms of Use for Clients

Effective Date: 06 August 2026

These Client Product Terms govern paid customer access to and use of the einTime platform and related modules, services, documentation, schedules and integrations. These terms apply when incorporated by reference into an order form, commercial schedule, work order or other ordering document between EINTIME, LLC and the customer.

1. Agreement Structure

These Client / Product Terms, together with the applicable Order Form, API / Integration Schedule, Data Processing / Privacy Schedule, AI / Automation Terms, product-specific schedule, and any statement of work or implementation document that references these terms, form the agreement between EINTIME, LLC and the customer identified in the Order Form.

If there is a conflict, the following order of precedence applies unless expressly stated otherwise: (a) Order Form; (b) Data Processing / Privacy Schedule for privacy and data-processing matters; (c) API / Integration Schedule for integration matters; (d) these Client / Product Terms; and (e) any other referenced documents.

2. Definitions

“Order Form” means the commercial schedule, work order or ordering document executed or accepted by the parties for customer’s subscription or use of the Platform.

“Platform” means the einTime software-as-a-service platform, including purchased modules and related workflows, dashboards, automations, validations, reports, analytics, integrations and documentation made available under the applicable Order Form.

“Third-Party Systems” means VMS/MSP portals, payroll providers, HRIS systems, accounting systems, billing systems, CRM platforms, ATS platforms, customer systems, client portals, APIs, data sources, software, infrastructure and external services not owned or controlled by einTime.

3. Platform Access and License

Subject to customer’s compliance with the agreement and payment of applicable fees, einTime grants customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Platform for customer’s internal business operations and only for the modules, usage limits, integrations, environments and authorized users stated in the Order Form.

Customer may use the Platform only in accordance with the agreement, Documentation, applicable law and any restrictions stated in the Order Form.

4. Product Scope and Modules

The purchased modules, usage scope, support level, implementation scope, integrations, environments, volume limits and any special terms are those stated in the Order Form. Modules or features not expressly included in the Order Form are excluded.

einTime may update, enhance, modify or discontinue features as part of normal product development, provided that material reductions to purchased functionality during an active subscription will be addressed in accordance with the agreement or applicable Order Form.

5. Customer Responsibilities

Customer is responsible for the accuracy, completeness, legality and timeliness of Customer Data; payroll, billing, employment, wage/hour, tax, accounting, HR and compliance decisions; final review and approval of Platform outputs; authorized user access; internal permissions, notices and consents; third-party system rights, credentials and access; and compliance with applicable laws and customer’s contracts with its clients, workers, employees, contractors and vendors.

Customer will not upload, transmit or permit access to data unless customer has the legal right and required permissions to do so. Customer remains responsible for all acts and omissions of its users.

6. Authorized Users and Account Security

Customer is responsible for all activity under its accounts and for ensuring that only authorized users access the Platform. Customer must maintain appropriate internal controls for user provisioning, role-based access, passwords, multi-factor authentication where enabled, access removal and credential protection.

Customer must promptly notify einTime of any suspected unauthorized access, credential compromise or security incident involving the Platform.

7. Customer Data and Platform Use

As between the parties, customer retains ownership of Customer Data. Customer grants einTime and its permitted service providers a limited right to host, access, process, transmit, store, display, transform, validate, reconcile and use Customer Data as necessary to provide, secure, support, improve and operate the Platform and related services, subject to the agreement and the Data Processing / Privacy Schedule.

einTime may generate logs, usage data, diagnostic data, metadata, aggregated data, de-identified data, analytics and performance information relating to the Platform, subject to applicable privacy law and the Data Processing / Privacy Schedule.

8. Payroll, Billing and Compliance Responsibility

The Platform is a workflow automation, validation, reconciliation, reporting, analytics and decision-support tool. Customer remains responsible for reviewing, validating, approving and submitting all payroll, billing, timekeeping, wage/hour, tax, employment, HR, accounting and compliance decisions before submission, payment, invoicing, reporting or reliance.

Platform validations, exception flags, reports, recommendations, analytics, payroll-ready files, billing outputs, cash-application outputs and other outputs do not replace customer’s independent review, professional judgment, legal obligations or internal approvals. einTime does not provide legal, tax, payroll, employment, accounting, HR or compliance advice.

9. Third-Party Systems and Integrations

Customer is responsible for obtaining and maintaining all rights, permissions, credentials, API access, data export rights, licenses, approvals and authorizations required for einTime to access, ingest, process, integrate with or export data to Third-Party Systems.

Third-party API, connector, integration, access, license, usage or platform charges required for the services must either be paid directly by customer or, where paid by einTime, passed through to customer at actual cost unless otherwise stated in the Order Form.

einTime is not responsible for delays, failures, data gaps, incorrect outputs, format changes, API restrictions, rate limits, downtime, credential issues, access revocation or other limitations caused by customer, Third-Party Systems or external service providers.

10. Implementation and Customer Dependencies

Implementation timelines, go-live dates and deliverables are dependent on customer’s timely completion of onboarding, data mapping, credentials, technical access, testing, user acceptance, configuration decisions, integration approvals and other dependencies listed in the Order Form or implementation plan.

Additional integrations, customizations, mappings, workflows, reports, modules, support or implementation services are excluded unless expressly included in the Order Form or a signed statement of work.

11. Support and Service Levels

einTime will provide support in accordance with the support commitments stated in the applicable Order Form or support schedule. Unless an SLA or service credit is expressly included in an Order Form, einTime provides commercially reasonable support without service credits.

Premium launch support, on-site support, extended remote support, dedicated support, custom reporting support or operational support beyond standard product support may be separately scoped and charged.

12. Fees, Taxes and Payment

Customer will pay the fees stated in the Order Form. Fees may include subscription fees, implementation fees, usage-based fees, per-transaction fees, per-cycle fees, per-employee or per-worker fees, support fees, integration fees, API pass-through fees, professional services fees and other charges stated in the Order Form.

Unless otherwise stated in the Order Form, invoices are due within 15 days from invoice date. Fees are exclusive of taxes, duties, levies and similar governmental charges, which are customer’s responsibility except for taxes based on einTime’s net income.

If undisputed amounts are overdue, einTime may suspend access after written notice and a reasonable cure period stated in the Order Form or these terms.

13. Confidentiality

Each party may receive confidential or proprietary information of the other party. The receiving party will use such information only for purposes of the agreement, protect it using reasonable care, and not disclose it except to personnel, affiliates, advisors and service providers who need to know and are bound by confidentiality obligations.

Customer Data, payroll data, worker data, employee data, contractor data, client data, pay data, billing data, integration credentials and audit logs are confidential information.

14. Security

einTime will maintain commercially reasonable administrative, technical and organizational safeguards designed to protect Customer Data against unauthorized access, loss, misuse or disclosure.

15. Privacy and Data Processing

The parties will comply with the Data Processing / Privacy Schedule for the processing of personal information and personal data. Customer is responsible for providing all required notices and obtaining all required consents, authorizations and rights from its users, employees, workers, contractors, candidates, clients and other relevant individuals whose data is processed through the Platform.

16. Intellectual Property

einTime and its licensors retain all rights, title and interest in the Platform, Documentation, software, APIs, connectors, workflows, validation rules, mapping logic, templates, reports, dashboards, algorithms, automation logic, analytics, configurations, product improvements, feedback-based improvements and related intellectual property.

Customer may not copy, modify, reverse engineer, decompile, scrape, benchmark for publication, sublicense, resell, timeshare, use to build a competing product, or otherwise use the Platform except as expressly permitted by the agreement.

17. Feedback

Customer may provide feedback, suggestions, ideas or recommendations. einTime may use feedback without restriction or compensation, provided that such use does not disclose customer’s confidential information except as permitted under the agreement.

18. Acceptable Use

Customer will not use the Platform to violate law, infringe rights, upload malicious code, interfere with the Platform, attempt unauthorized access, bypass security controls, overload systems, submit unlawful or unauthorized data, or process data for which customer lacks required rights.

Customer must not use Platform outputs as the sole basis for decisions that materially affect workers, pay, employment status, benefits, legal rights or compliance obligations.

19. AI / Automation Outputs

The Platform may use automation, rules engines, validation logic, analytics, exception flagging, recommendations, predictive features, OCR, RPA, AI-enabled tools or similar technologies. All such outputs are decision-support tools only and do not constitute final payroll, billing, employment, wage/hour, tax, legal, accounting, HR or compliance decisions.

Customer must ensure qualified personnel review and approve Platform outputs before submission, payment, invoicing, reporting, employment action, compliance action or other reliance. Automated outputs may be inaccurate or incomplete where source data is inaccurate, incomplete, delayed, improperly mapped, incorrectly configured or affected by third-party limitations.

20. Suspension

einTime may suspend access where necessary to address non-payment, security risk, suspected unauthorized access, violation of acceptable use, legal requirement, misuse, or Third-Party System restriction that materially affects the Platform. einTime will use commercially reasonable efforts to provide notice where practicable.

21. Term and Termination

The term will be stated in the Order Form. Either party may terminate for material breach if the breach is not cured within 30 days after written notice, unless a shorter cure period is required for non-payment, security risk or unlawful use.

Upon termination or expiration, customer’s access will end, customer will pay all amounts due, and data return/deletion will be handled in accordance with the Data Processing / Privacy Schedule and Order Form.

22. Warranties and Disclaimers

Each party represents that it has authority to enter into the agreement. einTime will provide the Platform in a professional and workmanlike manner in accordance with the applicable Documentation and Order Form.

Except as expressly stated in the agreement, the Platform and related services are provided “as is” and “as available.” einTime disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and that outputs will meet customer’s specific legal, payroll, tax, accounting, employment or compliance requirements.

23. Indemnities

einTime will defend customer against third-party claims alleging that the Platform, as provided by einTime and used as permitted, infringes intellectual property rights, and will pay damages finally awarded or settlements approved by einTime, subject to exclusions for Customer Data, customer configurations, Third-Party Systems, combination claims, misuse, unauthorized modifications and use outside the agreement.

Customer will defend and indemnify einTime against claims arising from Customer Data, customer’s use of the Platform, customer’s payroll, billing, employment or compliance decisions, unauthorized third-party system access, breach of law, breach of customer-client/worker obligations, or use of Platform outputs without required review.

24. Limitation of Liability

Each party’s aggregate liability is capped at fees paid or payable under the applicable Order Form during the 12 months preceding the event giving rise to liability.

Neither party will be liable for indirect, incidental, consequential, special, exemplary or punitive damages, or for lost profits, lost revenue, lost business, loss of goodwill, business interruption, or loss/corruption of data, except to the extent such exclusions are not enforceable under applicable law.

25. General Terms

The agreement is governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-law rules. The parties consent to venue and jurisdiction in the courts located in San Juan, Puerto Rico, subject to any dispute-resolution procedure stated in the applicable Order Form.
